課程概述 |
This course explores the issues surrounding business investment regulation globally. Topics explored will include: the definition of a security, the emergence and regulation of global securities markets, the jurisdictional reach of national and regional securities laws, the regulation of the disclosure of information related to business investments, cooperative enforcement of securities laws, private securities litigation, insider trading regulation, and transnational anti-corruption law. Students will consider and be asked to articulate how international securities law ought to be structured. The course will give students an understanding of how the United States has approached various issues related to securities regulation and to discuss how those approaches have been successful and unsuccessful on the global stage. A business background will be helpful for this course but is not required. |

This course is also designed to assist students in doing the following:
• Comprehending the challenges associated with regulating the emerging global securities markets.
• Understanding the issues and choices relating to designing systems of securities law domestically and internationally.
• Gaining knowledge of important securities law topics,
including the definition of a security, the emergence and regulation of global securities markets, the jurisdictional reach of national and regional securities laws, the regulation of the disclosure of information related to business investments, cooperative enforcement of securities laws, private securities litigation, insider trading regulation, and transnational anti-corruption law.
• Being able to analyze and resolve legal issues presented related to securities law.
• Acquiring knowledge of how the United States has approached various issues related to securities regulation and to discuss how those approaches have been successful and unsuccessful on the global stage.

Students are expected to be prepared and professional. Disciplinary action, which may include reduction of grade or dismissal from the course, will be taken for disruptive behavior. |

Students should spend 2 to 3 hours on assignments outside of class for each class session. Out-of-class time should be dedicated toward preparing for class, reviewing your notes, outlining, and studying for the exam. |

All readings will be available in the course packet, International Securities Regulation by Eric Chaffee. This packet will be freely distributed to all students. Outside research is not expected for this course, except as helpful to understanding the concepts entailed in the course packet. |

All students are expected to participate actively in class discussions, which should include speaking multiple times during each session. |

Final Exam |
80% |
The Exam will occur during the final class day on March 14, 2025 during the scheduled class time. The exam will consist of two essay questions. Students will have 70 minutes to complete the first essay question, which will be a broad policy question. Students will have 50 minutes to complete the second essay, which will include a fact pattern that students will be expected to apply the law taught during the course. No outside research is required or will be rewarded in taking the final exam. |
