Growing attention is being paid to an emerging asset class that now exceeds US$1 trillion in assets under management globally – impact investments. Impact investments are investments made into companies, organizations and funds with the intention to generate measurable social and/or environmental impacts, alongside a financial return. This intentional blurring of financial and nonfinancial objectives raises opportunities and challenges for those seeking to invest or attract funding. These multiple goals also shape the mindsets and skills needed by lawyers who represent participants in these transactions.
The goal of this course on legal issues in transacting impact investments is to familiarize law students with frameworks for analyzing, negotiating, and documenting impact investments. Students in this course will learn the vocabulary being created around impact investing. Students also will learn to identify key challenges that impact investors and their investees face when negotiating investments that can support both financial and social/environmental objectives. They will examine the various motivations of parties that engage in these investments and the risks these parties are likely to encounter. To further develop their analytical skills to see legal problems in a business context, students will conduct role plays and participate in simulated negotiations.
