Specific topics of enterprise and financial laws are selected for discussion. Cases and articles will be provided at the beginning and/or during the semester. The instructor will introduce the theme and regulatory framework at the beginning of each topic. Afterwards, students will have opportunities to present the assigned reading and participate discussion. In the fall semester of 2014-15, the focus will be on the regulation of corporate insiders, particularly those of the listed companies. We will beginning with the regulatory regime of corporate insiders in Taiwan and discuss the regulatory regimes in the USA, Europe and other jurisdictions. Several topics will be discussed through the semester, including (1) insider trading, (2) de facto directors and shadow directors, (3) corporate board and corporate governance, (4) director and officer compensation, (5) limited liability & exceptions, such as lifting the corporate veil doctrine, etc.
